                       ADVENTIS GROUP PLC ('the Company')

                              Directors' Interest

The Company was notified on 5 January 2007 by Abacus Corporate Trustee Limited,
the trustee of Adventis Employee Benefit Trust ('the Trust'), that on that date
it acquired 12,895 ordinary shares of 0.25p each in the Company ('Shares') at
38p per share. These Shares are to be held for the benefit of the Company's
employees. The executive directors of the Company are deemed to have an interest
in these Shares by virtue of their status as potential beneficiaries under the
Trust. As a result of the purchase, a total of 12,895 Shares are now held in the
Trust.
