R.E.A. Holdings plc ('the company') announces that, following the completion
of the open offer made by the company on 10 April 2001, Emba Holdings Limited
('Emba') yesterday notified the company that Emba has a notifiable interest in
the company's issued ordinary share capital amounting to 5,657,363 ordinary
shares of 25 pence each, representing 45.5% of the company's issued share
capital as enlarged by the open offer.

Pursuant to the open offer and underwriting arrangements, Emba subscribed for
a total of 1,746,150 new ordinary shares, comprising its pro rata entitlement
under the open offer of 1,181,664 new ordinary shares and a further 564,486
new ordinary shares subscribed for under the terms of the underwriting
agreement between the company and Emba dated 10 April 2001.
