NOTIFICATION OF MAJOR INTEREST IN SHARES

On 24 April 2002, Rathbone Brothers Plc ('the Company') was notified by
Caledonia Financial Limited in accordance with Sections 198 to 208 of the
Companies Act 1985.

As a result of a purchase on 23 April 2002 of 150,000 ordinary shares of 5p in
the Company, Caledonia Financial Limited's beneficial holding has increased to
4,582,199 ordinary shares of 5p which represents 12.13% of the issued shares of
that class.

By virtue of the provisions of Section 203 of the Companies Act 1985, Caledonia
Investments plc, of which Caledonia Financial Limited is a wholly owned
subsidiary, and the Cayzer Trust Company Limited, a substantial shareholder in
Caledonia Investments plc, are also deemed to be interested in the above
mentioned shares.
