NOTIFICATION OF MAJOR INTEREST IN SHARES

On 13 February 2002, Rathbone Brothers Plc was notified in accordance with
sections 198 to 208 of the Companies Act 1985 by Standard Life Investments
Limited that on 12 February 2002, 59,603 ordinary shares of 5p were sold on
behalf of the Standard Life Group.


Following that sale, their material interest decreased to 1,417,294 shares being
3.91% of the issued shares of that class.
