On 6 February 2002, Rathbone Brothers Plc was notified in accordance with
sections 198 to 208 of the Companies Act 1985 by Standard Life Investments
Limited that on 11 October 2001, following an internal transfer, their material
interest in the company's share capital increased by 90,636 shares. Their
material interest changed from 1,372,160 shares (3.78% of issued share capital)
to 1,462,796 shares (4.03% of issued share capital).
