Directorate Changes

At a Board Meeting on 29 May 2002, Jamie Cayzer-Colvin was appointed as a
Non-Executive Director of the Company. Mr. Cayzer-Colvin is an Associate
Director of Caledonia Investments plc.


At the same meeting, William Keatley announced his intention to retire from the
Board on 30 June 2002.
