Directors' shareholding - Long Term Incentive Plan

The independent trustee of the Rathbone Brothers Plc Long Term Incentive Plan
('LTIP') has notified the company that on 15 April 2005 it purchased 15,000
Rathbone Brothers Plc ordinary shares of 5p ('ordinary shares') at £7.68 and
10,000 at £7.60 in total representing 0.06% of the issued share capital of the
Company. The shares are registered in the name of Bank of New York Nominees.

Following this transaction, the trustee holds a total of 55,000 ordinary shares
representing 0.13% of the issued share capital of the Company. The following
executive directors are LTIP participants and potential beneficiaries and are
therefore treated as having an interest.
