Directors' shareholding - Long Term Incentive Plan

The Company has been notified that on 8 March 2006, the independent trustee of
the Rathbone Brothers Plc Long Term Incentive Plan ('LTIP'), Investec Trust
(Guernsey) Limited, purchased 10,312 Rathbone Brothers Plc ordinary shares of 5p
at £11.55. The shares are registered in the name of Bank of New York Nominees.

Following this transaction, the trustee holds a total of 65,312 ordinary shares
representing 0.16% of the issued share capital of the Company. The following
directors are LTIP participants and potential beneficiaries and are therefore
treated as having an interest.
