Directors' and PDMRs shareholding - Long Term Incentive Plan ('LTIP')


The Company has been notified that on 7 March 2007, the independent trustee of
the Rathbone Brothers Plc Long Term Incentive Plan, Investec Trust (Guernsey)
Limited, made awards to participants in the 2004-06 LTIP. As all or part of
these awards, directors and PDMRs have been awarded Rathbone Brothers Plc
ordinary shares of 5p shares at £11.75 (the closing mid-market price on 6 March
2007) as follows:
