Notification of a share transaction by a Person Discharging Managerial Responsibility ("PDMR")

On Monday 7 December 2009, Robert Hughes-Penney, a PDMR, exercised options over 5,000 Rathbone Brothers Plc Ordinary Shares of 5p granted under the Rathbone Brothers Plc Non-Inland Revenue Approved Executive Share Option Scheme 2000 on 16 March 2004 at £7.435.

The market value at exercise was £8.60 being the closing mid-market price on Friday 4 December 2009. The shares allotted were registered in the name of Rathbone Nominees Limited. 5,000 shares were sold on 7 December 2009 at £8.50. 

Following these transactions, he has a holding of 19,569 shares (0.045% of the issued share capital).
