RESPONSIBILITY OR CONNECTED PERSONS

On 7 April 2008, a PDMR, Robert Hughes-Penney, sold 2,500 Rathbone Brothers Plc
ordinary shares at £10.48. On the same date, 2,500 shares were purchased at
£10.48 by the trustees of the Rathbone Self Invested Personal Pension Plan on
his behalf. In both cases, the shares were registered in the name of Rathbone
Nominees Limited.

Following these transactions there is no change to his declarable beneficial
holding.
