On 4 April 2008, a PDMR, John Henderson, transferred 5,800 Rathbone Brothers Plc
ordinary shares to his spouse who then transferred the shares to a bare trust,
the beneficiaries of which are his two minor children. Following these transfers
there is no change to his declarable beneficial holding.
