Directors' and PDMRs shareholding - Long Term Incentive Plan ('LTIP')

The Company has been notified that on 12 March 2008, the independent trustee of
the Rathbone Brothers Plc Long Term Incentive Plan, Investec Trust (Guernsey)
Limited, made awards to participants in the 2005-07 LTIP. As all or part of
these awards, directors and PDMRs have been awarded Rathbone Brothers Plc
ordinary shares of 5p shares at £9.315 (the closing mid-market price on 11 March
2008) as follows. All shares are to be registered in the name of Rathbone
Nominees Limited.
