Rathbone Brothers Plc today announces the payment of deferred consideration by
Rathbone Investment Management Limited due in respect of the acquisition of
Oaktree Investment Management Limited (renamed Rathbone Investment Management
(C.I.) Limited on 1 September 2003).

The deferred consideration payable totalled £375,000 and included a cash payment
of £150,000 and the allotment of 23,266 Rathbone Brothers Plc Ordinary Shares of
5p at £6.446, being the average mid-market price for the five dealing days up to
and including the second dealing day prior to the first anniversary of
completion on 9 September 2003.

Application will be made to the London Stock Exchange and to the UK Listing
Authority for the admission of these shares. The shares rank pari passu with the
existing class of Ordinary Shares.
