- Notification of Major Interests in Shares

On 6 February 2009, The Rank Group Plc ('Rank') received the following notifications under the obligations imposed by Section DTR5 of the FSA's Disclosure & Transparency Rules:

BT Pension Scheme Trustees Limited

BT Pension Scheme Trustees Limited (as trustee of the BT Pension Scheme) notified Rank that, as at 5 February 2009, it had a notifiable interest in the voting rights attached to 26,246,948 ordinary 13 8/9p shares of Rank, representing 6.721% of the issued share capital of Rank.

The Hermes UK Focus Fund

Hermes Investment Management Limited notified Rank that, as at 5 February 2009, The Hermes UK Focus Fund had a notifiable direct interest in the voting rights attached to 16,976,485 ordinary 13 8/9p shares of Rank, representing 4.347% of the issued share capital of Rank.

Notes

The separate notification in respect of The Hermes UK Focus Fund is also included within the notification from BT Pension Scheme Trustees Limited and should not be double-counted.

BT Pension Scheme Trustees Limited is the parent undertaking of BriTel Fund Trustees Limited, which is the parent undertaking of Hermes Pensions Management Limited, which is the parent undertaking of:-

§         Hermes Investment Management Limited (voting rights held: 0%)

§         Hermes Focus Asset Management Limited (voting rights held: 8.883%)

§         Hermes Equity Ownership Services Limited (voting rights held: 0.035%)

Hermes Equity Ownership Services Limited hold the voting rights under a standing proxy contained in services agreements for the provision of corporate governance services to various underlying clients.

Hermes Investment Management Limited hold the voting rights under a standing proxy contained in investment management agreements with various underlying clients, which includes all the shares owned directly by BT Pension Scheme.

Hermes Focus Asset Management Limited hold the voting rights as General Partner under a standing proxy contained in limited partnership agreements with various limited partnerships.

All voting rights held on behalf of the above entities are aggregated for the purposes of DTR 5.2.1(a). The aggregation is made at the lower threshold of 3% and above because Hermes Equity Ownership Services Limited does not manage investments for the purposes of the investment manager exemption contained in DTR 5.1.5.

BT Pension Scheme Trustees Limited is the parent undertaking of the group of companies subject to the notification obligation as indirect holders of voting rights for the purpose of DTR 5.2.1(a) and 5.2.1(e).
