                              Director Declaration

The following information is given, subsequent to Brendan O'Neill's appointment
as a non-executive director of The Rank Group Plc on 1 October 2004.

In accordance with paragraph 9.6.13(1) of the Listing Rules, Brendan O'Neill has
advised that with effect from 19 July 2006 he was appointed to the board of
Watson Wyatt Worldwide Inc. as a non-executive director. Mr O'Neill is also
chairman of RAC Pension Trustees Limited, and a non-executive director of Tyco
International Limited, Aegis Group Plc and Endurance Speciality Holdings
Limited, a Bermudan-based insurance company.

There is no further information which would require disclosure under paragraph
9.6.13 (2-6) of the Listing Rules.
