Court sanctions Scheme to transfer Arran Insurance Company Limited to Chevanstell Limited

On December 4, the High Court Of Justice sanctioned the scheme involving the transfer of Arran Insurance Company Limited ("Arran"), a wholly owned subsidiary of Randall & Quilter Investment Holdings plc ("RQIH"), and all the assets and liabilities attributable to Arran, to Chevanstell Limited, another wholly owned subsidiary of RQIH, under PART VII of the Financial Services and Market Act 2000.  

The Scheme shall take effect at 2pm on December 8, 2009. The Scheme will increase the regulatory capital surplus of both Chevanstell and the Group's Insurance Company Division overall and is an important step in maximising the Group's capital efficiency.
