Randall & Quilter Investment Holdings plc ('Randall & Quilter' or the 'Company')

                      Restructuring of Banking Facilities


Randall & Quilter has completed the restructuring of the Company's loan
facilities in accordance with its intentions set out in the Admission Document
published in December.

The new loan arrangement has been provided by The Royal Bank of Scotland and is
a £20 million revolving credit facility which will be utilised alongside the
Company's own resources to fund acquisitions of further non-life insurance
companies in run-off.

Commenting on the new arrangement Alan Quilter, Finance Director, said 'The new
facility is a welcome endorsement of our financial quality, especially in a
cautious lending market'.
