Posting of 2022 Annual Report and Notice of Annual General Meeting 2023 to shareholders

Quilter plc (the "Company") announces that the 2022 Annual Report, Notice of Annual General Meeting 2023 (the "Notice") and Forms of Proxy / Voting Instruction Forms for the Annual General Meeting 2023 have been posted to shareholders today.

The Company's 2023 Annual General Meeting (the "2023 AGM") will be held on Thursday 18 May 2023 at 11:00am (UK time) at Senator House, 85 Queen Victoria Street, London EC4V 4AB. 

As announced by the Company on Thursday 23 March 2023, in addition to the disclosed dates relating to the 2023 AGM, the 2022 Annual Report is also available to view online at plc.quilter.com/annualreport and the Notice is available on our GM Hub at plc.quilter.com/gm.

Proposed Odd-lot Offer

Following our Odd-lot Offer in 2020, as part of our continued drive for greater efficiency and in line with our desire to act in the best interests of all our shareholders, Quilter is considering undertaking another Odd-lot Offer.

Pursuant to Listing Rule 12.4.4, the Company announces that it intends to propose the required resolutions at the 2023 AGM seeking authorisation to launch the Odd-lot Offer. Full details in respect of such proposed resolutions are set out in the Notice. The potential Odd-lot Offer is subject to shareholder approval at the 2023 AGM and other requisite regulatory approvals. If approved, Quilter will make an offer to eligible shareholders (holders of fewer than 200 ordinary shares) to repurchase their shares at a modest premium to the market price.

The Odd-lot Offer will reduce the complexity and cost to Quilter of managing our unusually large shareholder base and will allow shareholders holding small numbers of shares to dispose of their holdings in a timely and cost effective manner, without any dealing fees. Eligible shareholders can elect to retain their shareholding in Quilter plc. Further information will be provided to eligible shareholders in due course.

Key dates for shareholders in respect of the resolutions to approve the Odd-lot Offer and eligibility to participate in the Odd-lot Offer are set out below:

Subject to shareholder approval at the 2023 AGM and other requisite regulatory approvals, if the Board decides to launch an Odd-lot Offer, a timetable of key dates relating to the implementation of the Odd-lot Offer will be announced at the relevant time.
