                            Voting Rights and Capital

In conformity with the Transparency Directive's Transitional Provision 6, Quarto
notifies the market that Quarto's issued capital comprises 20,444,550 shares of
common stock of par value US$ 0.10 each. All of these shares carry voting
rights.

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or change to their interest in, Quarto under the FSA's Disclosure
and Transparency Rules.
