Holding in Company

 

The Board of Brainspark announces that they received notification on 07 September 2010 that, further to the announcement released by the Company on 05 March 2010, RCF SA ("RCF") ceased to have a beneficial interest in the share capital of Brainspark on 30 April 2010. This follows the sale of the ordinary shares in the Company held by RCF to retail clients of an institution. RCF is a portfolio management company of which Alfredo Villa, Chief Executive Officer of Brainspark, is Managing Director and discretionary fund manager.

 

RCF has a non-beneficial interest in 1,323,344 ordinary shares of 2.5 pence in the Company representing 10.08% of the current issued share capital of the Company.

 

Alfredo Villa is interested in 4,093,312 ordinary shares in the Company representing 31.19% of the current issued share capital of the Company. This comprises the beneficial interest of Alfredo Villa in 2,769,968 ordinary shares in the Company and the non-beneficial interest in 1,323,344 ordinary shares held by clients of RCF. Alfredo Villa is also a founder and director of charity Homes for Hope.  Homes for Hope currently have a beneficial interest in 1,227,773 ordinary shares in Brainspark, equivalent to 9.36% of the total issued share capital of the Company.
