                  BRAINSPARK PLC ('Brainspark' or the 'Company')
                    RESULT OF EXTRAORDINARY GENERAL MEETING
                          SUB-DIVISION OF SHARE CAPITAL

Brainspark announces that at the Extraordinary General Meeting held today, all
resolutions were passed to effect the sub-division of each of the existing
issued ordinary shares of 1p into one new ordinary share of 0.01p ('New Ordinary
Shares') and 99 new deferred shares of 0.01p ('Deferred Shares'). The Deferred
Shares shall carry no effective rights.

Application will be made for the New Ordinary Shares to be admitted to trading
on AIM.
