Appointment of Directors

The Board of Brainspark is pleased to announce the appointment of Allenby Capital Limited as the Company's Nominated Adviser and Broker, with immediate effect. As a result of the appointment of a new nominated adviser, the Company's Ordinary Shares have been restored to trading on the AIM market with effect from 7 a.m. today, 18 September 2009.

The Board of Brainspark is also pleased to announce, further to the announcement released by the Company on 27 August 2009, the appointments of Alessandro Malacart and Alfredo Villa as Non-Executive Directors of Brainspark with immediate effect.

Alessandro Malacart was one of the founders of AISoftw@re SpA (now called Exprivia SpA), an Italian software company listed on the Milan Stock Exchange, and was Managing Director of the company from November 2003 until May 2005. Alessandro was also COO for three years of Inferentia DNM (now called Fullsix SpA). Alessandro is currently Managing Partner of Milan-based financial services company F.O.R advisory S.r.l.  He has wide experience in capital markets and M&A work, including having overseen the IPO of AISoftw@re on Nasdaq Europe in November 1999 and Inferentia DNM on the Nuovo Mercato in August 2000.

Alfredo Villa has over 20 years experience in the financial services industry. He co-founded Givigest Fiduciaria SA, a Swiss financial services company and SCF SA, a financial consulting firm offering asset management services. Both entities were sold in 2001. Since 2000 he has been a director and partner of Gabbrielli & Associati S.p.A., a financial consulting firm based in Milan. Alfredo is also a board member of Mediapolis SA, an investee company of Brainspark, and Moggle Inc. He is a 'Chartered Technical Analyst' (CTA) qualified by the US Market Technicians Association in New York as well as an authorised Financial & Commercial Fiduciary in the Swiss Canton of Ticino. Alfredo holds a masters degree in economics from the University of Geneva, Switzerland. Alfredo was previously a director of Brainspark from July 2006 to February 2009 before, at that time, resigning to pursue other business and charity interests. 

Mr Alfredo Maria Villa (aged 48) and Mr Alessandro Federico Giuseppe Malacart (aged 48) are or have been directors of the following companies in the last five years:

Alessandro Malacart was a director of Algol S.p.A from 24 August 2005 to 11 November 2005. Algol S.p.A entered into compulsory liquidation on 15 December 2005.

Alfredo Villa currently has a beneficial interest in 57,668,670 ordinary shares in Brainspark, equivalent to 17.44% of the total issued share capital of the Company.  In addition RCF Customers, a portfolio management company of which Alfredo Villa is a discretionary fund manager, holds 30,950,000 of the ordinary shares in the Company, equivalent to 9.36% of the total issued share capital of the Company.  Alessandro Malacart has no beneficial interests in the share capital of Brainspark.

There is no further information required to be disclosed by Schedule 2 (g) or rule 17 of the AIM Rules for Companies with regards to the appointments of Alessandro Malacart and Alfredo Villa to the board of Brainspark.
