NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITY OR CONNECTED PERSONS

The notifications listed below were received under paragraph 3.1.2 of the
Disclosure Rules and, in respect of directors of QinetiQ Group plc only, section
324 of the Companies Act 1985.

QinetiQ Group plc (the 'Company' (previously known as QinetiQ Holdings Limited))
announces that it received notification on 26 July 2006 of the following
allocations of ordinary shares following the exercise of options pursuant to the
QinetiQ Holdings Share Option Scheme (the 'Share Option Scheme'), namely:

(i) the following directors of the Company were allocated ordinary shares on 25
July 2006 pursuant to the exercise of options granted to them under the Share
Option Scheme:

The exercise price per ordinary share was 2.35 pence.

As a result of the above, interests of directors and PDMRs in the Company's

the Company's employee benefit trusts) have increased as follows:

The Share Option Scheme was established on 25 July 2003 on which date options
were granted to various employees of the Company, including the directors and
PDMRs identified above. The options granted under the Share Option Scheme became
exercisable on 15 February 2006 when the Company listed on the London Stock
Exchange.
