NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITY OR CONNECTED PERSONS

The notification listed below was received under Paragraph 3.1.2 of the
Disclosure Rules and, in respect of directors of QinetiQ Group plc only, Section
324 of the Companies Act 1985.

QinetiQ Group plc (the 'Company') announces that:

1. It received notification on 27 February 2006 of the following grants of
options to acquire ordinary shares of 1 penny each in the Company ('Ordinary
Shares') under the rules of the QinetiQ Group plc Share Option Scheme (the
'Scheme') at an exercise price of £2.08 per share, namely:

(i) the following director of the Company was granted options on 23 February
2006 to acquire Ordinary Shares under the rules of the Scheme:

Options granted under the Scheme are normally exercisable during the period
commencing on the third anniversary of the date of grant and ending on the day

and their exercise is conditional upon the achievement of specified performance
criteria.
