On 2 March 2005, ProVen VCT plc portfolio company Notability Solutions Limited
('Notability') was acquired by Logicalis Group Ltd, the UK subsidiary of
Johannesburg Stock Exchange listed Datatec.  As part of this transaction ProVen
VCT plc sold its shareholding in Notability, realising a capital gain of £1.25
million, or approximately 5.6 pence per ProVen VCT plc ordinary share.  Most of
this gain had already been reflected in the latest published net asset value for
ProVen VCT plc at 31 January 2005, announced on 28 February 2005, and therefore
the disposal does not materially affect the net asset value of ProVen VCT plc.
