The Board of ProVen VCT plc announces that Mr Gordon Power was appointed as a
non-executive director of the Company with effect from 14 March 2002.

Mr Power is executive chairman of ProVen Private Equity Limited, investment
manager to the Company. His other directorships include Guinness Flight VCT plc
and ProVen Media VCT plc.

There are no other details requiring disclosure under Listing Rule 16.4 in
respect of this appointment.

Mr Stephen P Edwards resigned as a director of the Company on the same date.
