The Board of CSS Stellar plc ('CSS' or the 'Company') has approved the issue of
1,662,078 new Ordinary Shares of 50p each in the Company as deferred
consideration in connection with the acquisitions of The GEM Group (Europe) Ltd
(formerly Craigie Taylor International Ltd).


Application has been made to the London Stock Exchange for the new ordinary
shares to be admitted to the Alternative Investment Market and it is expected
that admission will take place on 16 July 2004.

After this issue, the enlarged issued ordinary share capital of CSS will be
28,906,428 ordinary shares of 50p each.
