Director's Interest


The Company has been notified by John Webber that he gifted 30,000 ordinary
shares of 50p each in the capital of CSS Stellar on Tuesday, 22 January 2002 to
a charitable trust, The John Webber Charity.  Since Mr Webber is a trustee of
the charitable trust (but not a beneficiary, whether potential or actual), his
beneficial interest has been reduced by the gift to 1,778,168 shares
representing 8.97% of the issued share capital.  However, Mr Webber's total
interest in the share capital of the Company is unchanged.
