Premier Foods plc - Voting Rights and Capital

In accordance with DTR 5.6.1 of the FSA's Disclosure and Transparency Rules we
would like to notify the market of the following:

Since 31 January 2008 Premier Foods plc has issued an additional 187 ordinary
shares with voting rights.

The figure of 844,604,805 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Premier Foods plc under the FSA's
Disclosure and Transparency Rules.
