                                 Result of AGM



Premier Foods plc announces that at its Annual General Meeting held yesterday
10th May 2007, all resolutions were passed on a show of hands.

In accordance with Listing Rule 9.6.2, two copies of the resolutions passed as
special business have been submitted to the UK Listing Authority and will be
available for inspection at the UK Listing Authority's Document Viewing Facility
which is situated at Financial Services Authority, 25 The North Colonnade,
Canary Wharf, London E14 5HS.



The items of special business approved at the AGM were;



 1. Authority to allot relevant securities up to the value of one-third of the
    Company's Issued Share Capital.



 2. Authority to allot equity securities for cash up to a value of 5% of the
    Company's Issued Share Capital.
