We wish to advise that the following Awards have been made under the Premier 
Foods plc Long Term Incentive Plan;

Grants to Executive Directors
     
(a)  to Robert Schofield, awards with respect to 144,280 of ordinary shares; and

(b)  to Paul Thomas, awards with respect to 84,628 of ordinary shares.

These awards are subject to performance conditions which are measured over three
years. If an award vests, the award holder may be granted a share option (with
an aggregate exercise price of £1) over the number of shares in respect of which
the award vests. The share option will be capable of being exercised over the
subsequent ten years.
