NOTIFICATION OF TRANSACTIONS OF DIRECTORS AND PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITIES (PDMR)



The Company announces that on 24 September 2007 Mr Miles Warnick, a  PDMR of the
Company, exercised an option to acquire 1,304 RHM Ltd shares at a price of 230
pence per share under the RHM Group Sharesave Scheme. Under the terms of the RHM
Scheme of Arrangement the shares were automatically transferred to the Company
in exchange for the allotment of one Premier Foods plc ordinary share of 1 pence
each and a cash payment of 83.2 pence for each RHM Ltd share.



Following the option exercise Mr Warnick's total holding is as follows:
