NOTIFICATION OF TRANSACTIONS OF DIRECTORS AND PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITIES

We wish to notify the following, in accordance with Rules 3.1.4(1)(a) and 3.1.4
(1)(b) of the Disclosure Rules.

1.                       On 18 April 2006 the Company granted the options set
out in column (2) of the table below to the directors and Persons Discharging
Managerial Responsibilities ('PDMRs') set out in that table under the Company's
Savings Related Share Option Scheme ('SAYE Scheme'). These SAYE Scheme options
are over ordinary shares of 1p each in the Company and are exercisable at a
price of £2.36 per share between 1 June 2006 and 30 November 2009. In each case
the grant of the options was for nil consideration.

2.                       The Company has granted conditional awards in respect
of the number of ordinary shares of 1p each in the Company set out in column (3)
of the table below to the directors and PDMRs set out in that table under the
Company's Long Term Incentive Plan ('LTIP'). The conditional awards were all
made on 13 April 2006. The vesting of the LTIP awards is subject to performance
conditions based upon total shareholder return as measured over a three-year
period, with the Company's Remuneration Committee having power to scale back if
it is felt that underlying financial performance has not been adequate. On the
vesting of the conditional awards, the holders concerned will be granted options
exercisable at a price of £nil per share between 14 April 2009 and 14 April 2016
over the number of shares in respect of which the awards vest.

Following the granting of these options and conditional awards, the total number
of ordinary shares of 1p each in the Company over which the directors and PDMRs
concerned hold options is set out in column (4) of the table below.
