                  Premier Foods acquisition of Bird's custard
               and Angel Delight from Kraft becomes unconditional

Premier Foods plc ('Premier') has been informed that the board of Altria Inc.,
the parent company of Kraft Foods Inc., has approved the sale of Bird's Custard,
Angel Delight and associated brands to Premier. There are no further conditions
for completion of the transaction, which will take place during February 2005.
