Voting rights and capital

In conformity with the Transparency Directive's transitional provision 6,
Prodesse Investment Limited ('Prodesse') would like to notify the market of the
following:

Prodesse's capital consists of 25,625,550 ordinary shares each with voting
rights.  Prodesse does not hold any ordinary shares in Treasury. Therefore the
total number of voting rights in Prodesse is 25,625,550.

The above figure of 25,625,550 may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change in their interest in, Prodesse under the FSA's
Disclosure and Transparency Rules.
