Directors Declaration

In compliance with Listing Rule 9.6.14, Prodesse Investment Limited announces
that Mr John Hallam and Mr Christopher Sherwell, non-executive directors, have
informed the Company that New Star RBC 250 Index Exchange Traded Securities PCC
Limited, of which they are directors, was listed on the London Stock Exchange on
28 November 2006.

Mr Sherwell has also informed the Company that Rutley European Property Limited,
of which he is a director was listed on the London Stock Exchange and the
Channel Islands Stock Exchange on 27 November 2006

There have been no other changes to the information set out in LR 9.6.13R (2) to
LR 9.6.13R (6) in respect of Mr Hallam and Mr Sherwell.
