Directors Declaration

In compliance with Listing Rule 9.6.14, Prodesse Investment Limited announces
that Mr John Hallam, Mr Christopher Sherwell and Mr Talmai Morgan, Non-Executive
Directors, informed the Company that they have been appointed as Directors of
Lehman Brothers Private Equity Partners Limited listed on Euronext on 18 July
2007. Mr John Hallam has also informed the Company that Genesis Emerging Markets
Opportunities Fund Ltd III, of which he is a Director, has been listed on the
Irish Stock Exchange.

There have been no other changes to the information set out in LR 9.6.13R (2) to
LR 9.6.13R (6) in respect of Mr Hallam, Mr Sherwell or Mr Morgan.
