CIRCULAR AND NOTICE OF EXTRAORDINARY GENERAL MEETING

25 AUGUST 2006

Prodesse Investment Limited (the 'Company') has today published and posted a
circular and notice of extraordinary general meeting ('EGM') to the Company's
shareholders in response to a requisition of an EGM of the Company received from
Credit Suisse Securities (Europe) Limited on behalf of funds managed by Laxey
Partners Limited ('Laxey').

The circular convenes the EGM of the Company, to be held at 11.30 a.m. on
Thursday 12 October 2006, at which the resolutions put forward by Laxey will be
proposed together with a recommendation from the Board of the Company to vote
against the resolutions.
