In line with the statement made in the Preliminary Results for 2002 regarding
the utilisation of profits from property disposals to repurchase the company's
shares, Pendragon PLC has on 24 March 2003, purchased 1,239,495 (one million,
two hundred and thirty nine thousand and four hundred ninety five) of its
ordinary shares at a price of 305.00 pence per share.

Following the purchase and cancellation of these shares, the issued share 
capital of the Company is 53,074,119 Shares.
