                           PENDRAGON PLC ('Pendragon')


In line with the statement made in the Annual Report 2001 regarding the 
utilisation of net profits from property disposals to repurchase the company's 
shares, Pendragon PLC has today, 19 September 2002, purchased two million of its 
ordinary shares at a price of 308 pence per share.

Following the re-purchase and cancellation of these shares, the issued share 
capital of the Company is 56,174,918 Shares.
