PENDRAGON PLC ('Pendragon')

On 1 July 2002 Invesco Asset Management Limited notified the Board of Pendragon
that following recent transactions its total notifiable interest in the ordinary
shares of Pendragon has increased to 1,884,607 shares representing 3.24% of the
total issued share capital of Pendragon PLC.



As a result of an increase in Pendragon's issued share capital resulting from
the exercising of options under the Pendragon 1989 Executive Share Scheme
StanLife Nominees Limited holding of 3,727,775 Pendragon Ordinary shares now
represents 6.41% of the total issued share capital of Pendragon PLC.
