Further re Share Purchases

Pendragon PLC 27 March 2003 The Purchase of Own Securities announcement released on 25th March 2003 at 7.00am under RNS 1413J and the Purchase of Own Securities announcement released on 27th March 2003 at 7.01am under RNS 2636J have been amended. The announcements should have shown that Pendragon acquired only 1,040,595 of the shares on the 24th March 2003 with the balance being acquired by Investec Trust Guernsey Limited as trustee of The Pendragon Employee's Share Trust ('the Trustee'). In line with the statement made in the Preliminary Results for 2002 regarding utilisation of profits from property disposals to repurchase the company's shares, Pendragon has on 24 March 2003, purchased 1,040,595 (one million, forty thousand and five hundred and ninety five) of its ordinary shares at a price of 305 pence per share. Following the purchase and cancellation of these shares, the issued share capital of the Company is 53,273,019. The directors also announce that on 24th March 2003 the Trustee acquired 198,900 ordinary shares in Pendragon at a price of 305 pence per share and on 26th March 2003 a further 715,642 ordinary shares in Pendragon at a price of 312 pence. The directors of Pendragon announce that they were today informed that on 27 March 2003 the Trustee acquired a further 800,000 ordinary shares in Pendragon, representing 1.50% of the issued share capital of Pendragon at a price of 312 pence per share. This, together with the share acquisitions made on 24th and 26th March 2003 brings the aggregate amount of the issued share capital held by the Trustee to 2,749,665, representing 5.16% of the total issued share capital of Pendragon.
