                         PENDRAGON PLC ('Pendragon')

On 29 October 2003 Investec Trust Guernsey Limited as trustee of the Pendragon 
Employee's Share Trust ('the Trustee') acquired 750,000 ordinary shares in 
Pendragon, representing 0.57% of the issued share capital of Pendragon at a 
price of 217 pence per share. This brings the aggregate amount of issued share 
capital held by the Trustee to 7,868,337, representing 6.0% of the total issued 
share capital of Pendragon.

The directors of Pendragon have an interest in the shares held by the trustee, 
as participants in the Pendragon 1999 Executive Share Option Scheme and as 
members or potential members of the Pendragon Sharesave Schemes.
