                            VOTING RIGHTS AND CAPITAL

In conformity with the Transparency Directive's transitional provision 6, 
we would like to notify the market of the following:

SOCO's capital consists of 72,778,415 ordinary shares of £0.20 each with 
voting rights. SOCO holds 27,500 ordinary shares in Treasury. Therefore, 
the total number of voting rights in SOCO is 72,750,915

The above figure (72,750,915) may be used by shareholders as a denominator 
for the calculations by which they will determine if they are required to 
notify their interest in, or a change to their interest in, SOCO 
International plc under the FSA's Disclosure and Transparency Rules.
