                             DIRECTOR SHAREHOLDING

The Company was notified on 30 September 2003 that on the same day, the Trustees
of the SOCO Employee Benefit Trust (the 'Trust') acquired 115,000 (0.16%) SOCO
International plc ordinary shares of £0.20 each ('Shares') on the open market at
a purchase price of £2.95 per share.

Following this transaction the Trust holds 2,325,000 Shares representing 3.25%
of the issued share capital of the Company. The Directors of the Company are
deemed to be interested in the Shares held by the Trust. No additional interests
arise on the part of the Directors by reason of the purchase referred to in this
announcement.

The Company was additionally notified on 29 September 2003 that on the same 
day, Mr Roger Brittain sold 20,000 (0.03%) Shares at £3.15 per Share. 
Following this transaction, Mr Brittain has an interest in 86,400 Shares, 
representing 0.12% of the issued share capital of the Company.
