                              DIRECTOR SHAREHOLDING


The Company was notified on 16 May 2003 that on the same day Mr John Norton
acquired a further interest in 25,000 SOCO International plc ordinary shares of
£0.20 each ('Shares'). The Shares were purchased at a price of £3.73 per Share
and represent 0.04% of the issued share capital of the Company. Following this
transaction, Mr Norton is interested in 115,000 Shares, representing 0.16% of
the issued share capital of the Company.

The Company was also notified on 16 May 2003 that on the same day, 7,500 Shares
(0.01%) were sold by Mr Peter Kingston at a sale price of £3.73 per Share.
Following this transaction, Mr Kingston is interested in 4,000 Shares,
representing 0.006% of the issued share capital of the Company.
