                             DIRECTOR SHAREHOLDING




The Company was notified on 16 July 2002 that Mr Rui de Sousa has acquired an
interest in a further 25,000 ordinary shares in the Company (0.035%).

The shares were purchased on 16 July 2002 on the open market at £1.78 per share
by New Falcon Oil Limited of which Mr de Sousa owns 100% of the issued shared
capital.



Following this transaction Mr de Sousa is interested in 3,422,097 ordinary
shares, representing 4.80% of the issued share capital of the Company.
