Director shareholding

The Company gives notice that it was informed, on 2 April 2001, that on 30
March 2001 the trustee of the SOCO Employee Benefit Trust (the'Trust')
acquired 400,000 SOCO International plc ordinary shares of 20p each at a price
of  £1.05, representing 0.57% of the issued share capital of the company.
 
The directors of SOCO are deemed to be interested in the shares held by the
Trustee. 

Following this announcement the interest of the Trust will be 1,200,000
Ordinary shares, representing 1.71% of the issued share capital of the
company.

No additional interests arise on the part of the directors by reason of the
purchases referred to in this announcement.
