                           DIRECTOR/PDMR SHAREHOLDING

The Company was notified on 11 May 2006 that on the same day Mr Rui de Sousa, 
a Non-Executive Director in the Company, purchased 7,500 SOCO International plc 
ordinary shares of £0.20 each ('Shares'). The Shares were purchased at a price 
of £15.449 per Share and represent 0.01% of the issued share capital of the 
Company.

Following this transaction, Mr de Sousa has an interest in 728,924 Shares, 
representing 1.01% of the issued share capital of the Company and 1,549,853 
warrants to subscribe for Shares ('Warrants'). This interest is held as follows:

     7,500 Shares (0.01%) are held by Mr de Sousa;

     721,424 Shares (1.00%) and 55,336 Warrants at an exercise price of £0.55, 
     925,187 Warrants at an exercise price of £0.60 and 528,678 at an exercise 
     price of £0.65 are held by Palamos Limited, which is owned by a trust 
     company whose potential beneficiary is the family of Mr de Sousa;

     40,652 Warrants at an exercise price of £0.55 are held by New Falcon Oil 
     Limited, of which Mr de Sousa owns 100% of the issued share capital.
